Structures in the United States and Europe help startups attract capital and enter global markets

Capital follows familiar jurisdictions

Ukrainian defense-tech teams are increasingly building corporate structures in the United States, the United Kingdom and the European Union. For international investors, familiar jurisdictions simplify governance, investment protection, exits and potential stock-market access.

The trend does not necessarily mean that engineering or production leaves Ukraine. Many teams remain Ukrainian by talent, battlefield feedback, product origin and manufacturing links. But foreign legal entities can make investment rounds easier for funds that need predictable corporate law.

Nasdaq and larger rounds change perception

Swarmer, founded by Ukrainians and registered in Delaware, became one of the strongest examples by reaching Nasdaq and raising more than seventeen million dollars in gross proceeds after the underwriter option. Other projects founded by Ukrainians have also raised large rounds through structures connected with Britain, France or the EU.

This creates a measurement problem. Deals may be based on Ukrainian technology, but capital can flow through foreign holding companies, foreign production and international sales networks. The key question is where engineering teams, taxes, intellectual property and production capacity remain.

What investors should watch

Foreign registration can be a bridge rather than an exit from Ukraine. The most attractive companies will be those that combine investable legal structures with Ukrainian engineering, local production capacity, protected IP and a clear route to allied defense markets.
