Ukraine importers face stricter scrutiny over royalties in customs value

Licensing payments may affect import duties when intellectual property is tied to the sale of goods

Ukrainian importers that buy goods linked to trademarks, patents, know-how or other intellectual property need to treat royalty payments as a customs risk, not only as a tax or contract issue. The central question is whether a licensing payment is economically connected with the imported goods and whether it is effectively a condition of their sale.

International rules used by the World Customs Organization and Ukrainian customs legislation follow the same basic logic. Royalties are added to customs value when they relate to the assessed goods, are required for the sale of those goods and are not already included in the price actually paid. This can apply even when the royalty is not written directly into the purchase contract.

Functional link matters more than wording

The practical test is not just formal wording. Customs authorities may ask whether the importer could buy, import and commercially use the goods without paying the royalty. If the license controls access to branded products, technical standards, approved manufacturers or the right to sell the goods, the payment may become part of customs value.

At the same time, not every licensing fee is automatically included. Payments for services, local marketing, separate domestic licensing arrangements or production in Ukraine based on standard components may fall outside customs value if they are not tied to the foreign sale. This makes contract structure, evidence and documentation decisive.

For business, the safest approach is to review supply contracts, license agreements and payment flows together before imports begin. A royalty that looks separate in legal form can still be treated as part of the import transaction if it determines whether the goods can enter the Ukrainian market.
